1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your use of the GridVault ("GridVault," "we," "us," or "our") website (the "Site"), your request for a consultation, and any purchase of a GridVault system. By accessing the Site, requesting a consultation, or purchasing a GridVault system, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
2. Description of Services
GridVault designs, builds off-site, and delivers commercial-grade off-grid power systems, including the GridVault 80, GridVault 160, and GridVault 320. Specifications, pricing, and availability described on the Site are subject to change and will be confirmed in your individual purchase agreement.
3. Purchase Terms
Purchase of a GridVault system is governed by a separate purchase agreement executed between you and GridVault, which will specify the applicable system, price, payment schedule, and delivery terms. Generally, purchases require 50% of the purchase price at signing and the remaining 50% due prior to or upon delivery, as specified in your purchase agreement.
Delivery timelines, system specifications, and optional add-ons (including generator and solar array options) described on the Site are estimates and subject to confirmation in your purchase agreement. GridVault will provide a specific delivery timeline as part of that agreement.
4. Warranty
GridVault systems incorporate EcoFlow Ocean Pro battery and inverter components, which carry a manufacturer warranty as specified by EcoFlow at the time of your purchase. Warranty claims for these components are subject to EcoFlow's warranty terms and procedures, not GridVault's. GridVault's own warranty coverage, if any, for installation, enclosure, and other GridVault-provided components will be specified in your purchase agreement.
5. Delivery and Installation
GridVault systems are commissioned off-site and delivered to the property specified in your purchase agreement. You are responsible for providing accurate site-access information and ensuring the delivery location is prepared to receive the system as specified by GridVault prior to delivery. Delivery and installation timelines are estimates and may be affected by factors outside GridVault's control, including weather, permitting, and site conditions.
6. Cancellation and Refunds
Cancellation, refund, and deposit-forfeiture terms applicable to a system purchase will be specified in your individual purchase agreement.
7. Limitation of Liability
To the fullest extent permitted by law, GridVault's total liability arising out of or related to the Services, the Site, or any purchase will not exceed the amount you paid to GridVault in the twelve (12) months preceding the claim. GridVault is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption, arising from your use of the Services or a GridVault system.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or personal injury caused by a defective product, where applicable law prohibits such limitation.
8. Intellectual Property
All content on the Site, including text, graphics, logos, and images, is the property of GridVault or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent.
9. Third-Party Products and Trademarks
EcoFlow, EcoFlow Ocean Pro, and related marks are trademarks of their respective owner and are referenced on the Site to describe components incorporated into GridVault systems. Any references to partnership, endorsement, or recognition by EcoFlow are accurate as of the date published and subject to the terms of GridVault's actual agreements with EcoFlow.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Iowa, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms, the Services, or a GridVault system purchase will be resolved in the state or federal courts located in Iowa, and you consent to the personal jurisdiction of those courts.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated "Last Updated" date on this page. Your continued use of the Site or Services after changes take effect constitutes acceptance of the updated Terms.
